Terms of Service

These Terms govern access to and use of Recon and related services provided by 450Digital LLC ("450Digital," "we," "us"). By creating an account, accepting an invitation, installing the Recon browser extension, or using the services, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent ("Customer," "you").

1. The Service

Recon is an AI-powered account intelligence service comprising a browser extension, a web dashboard, and associated APIs (together, the "Service"). The Service researches publicly available information about companies you designate and generates analyses, briefs, plans, and outreach content ("Output").

2. Accounts, Seats, and Administration

Access is provided through user accounts within a Customer organization. You are responsible for the accuracy of account information, the confidentiality of credentials, and all activity under your accounts.
Seats are for individual named users and may not be shared. Customer administrators may invite, manage, and remove users within their organization and are responsible for those users' compliance with these Terms.

3. Plans, Fees, and Usage Limits

Paid plans, included seats, and usage allowances (such as monthly research volumes) are described at the time of purchase or in an applicable order form. Usage allowances reset monthly and unused capacity does not roll over unless stated otherwise.
Fees are payable in advance, non-refundable except where required by law, and exclusive of taxes. We may suspend the Service for non-payment after reasonable notice.
We may enforce usage limits technically. Add-on capacity may be purchased where offered.

4. Customer Data and Knowledge Base

"Customer Data" means information you submit to the Service, including your product catalogs, customer stories, competitive notes, company profile, user lists, and research inputs. As between the parties, Customer owns Customer Data.
You grant 450Digital a license to host, process, and use Customer Data solely to provide, secure, and improve the Service.
Our handling of personal information is described in our Privacy Policy.

5. AI-Generated Output

Subject to these Terms, Customer owns the Output generated for it and may use it for its internal business and sales purposes.
Output is generated by artificial intelligence from public sources and Customer Data. It may contain inaccuracies, omissions, or outdated information. You are responsible for reviewing Output before relying on it or sending it to third parties. The Service does not provide legal, financial, or professional advice.
Given the nature of AI, similar or identical Output may be generated for other customers.

6. Acceptable Use

You will not, and will not permit others to:

use the Service to violate law, third-party rights, or third-party platform terms (including LinkedIn's and Salesforce's terms applicable to your accounts on those platforms);
send unlawful, deceptive, or spam communications, including messages that violate CAN-SPAM, GDPR, or similar laws;
reverse engineer, scrape, resell, or provide the Service to third parties outside your organization, or use it to build a competing product;
circumvent usage limits, security controls, or access restrictions, or share seats or credentials.

7. Intellectual Property

450Digital owns the Service, including all software, models, prompts, designs, and documentation, and all related intellectual property rights. No rights are granted except as expressly stated in these Terms. Feedback you provide may be used by 450Digital without restriction.

8. Third-Party Platforms and Sources

The Service operates alongside third-party platforms and draws on publicly available sources. 450Digital does not control and is not responsible for third-party platforms, their availability, or their terms. Your use of your own accounts on such platforms remains governed by their terms.

9. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only as needed to perform under these Terms. This obligation survives termination for three (3) years, and for Customer Data, for as long as we hold it.

10. Term, Suspension, and Termination

These Terms apply while you use the Service. Subscriptions renew per the applicable order or plan settings until cancelled.
We may suspend or terminate access for material breach (including acceptable-use violations) or security risk. You may terminate at any time by cancelling; fees already paid are non-refundable.
Upon termination, we will make Customer Data available for export for thirty (30) days, after which we may delete it.

11. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." 450DIGITAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (b) 450DIGITAL'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY CUSTOMER FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

Customer will defend and indemnify 450Digital against third-party claims arising from Customer Data, Customer's use of Output, or Customer's violation of law or third-party platform terms.

14. Changes to the Service or Terms

We may improve or modify the Service, and may update these Terms by posting a revised version with a new effective date. Material changes will be notified reasonably in advance; continued use after the effective date constitutes acceptance.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules. The exclusive venue for disputes is the state or federal courts located in Williamson County or Travis County, Texas, and the parties consent to their jurisdiction.

16. General

These Terms are the entire agreement regarding the Service and supersede prior discussions. If any provision is unenforceable, the remainder stays in effect. Neither party may assign these Terms without consent, except to a successor in a merger or sale. Notices to 450Digital: hello@450digital.com.
